1. Agreement
These Terms of Service (“Terms”) form a binding agreement between you and aeofyi, operated by KAIZUN AI LLC, registered at Sharjah Media City, Sharjah, UAE (“aeofyi,” “we,” or “us”). They govern your access to and use of the aeofyi web application, APIs, and related services (the “Service”).
By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
2. Eligibility and Accounts
You must be at least 16 years old, or the age of digital consent in your jurisdiction (whichever is higher), to use the Service. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at kaizunaillc@gmail.com of any unauthorised use.
3. Plans, Billing, and Cancellation
The Service is offered under a free plan and one or more paid subscription plans. The features, quotas, and prices for each plan are described on our pricing page and may change from time to time. Where changes affect an active paid subscription, we will give at least 30 days' notice before the new price takes effect.
Paid subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel at any time; cancellation takes effect at the end of the then-current paid period and your account automatically reverts to the free plan.
Subscription fees are non-refundable. Cancelling stops the next renewal but does not return charges already made for the current or earlier billing periods. You keep full access to your paid plan until the end of the current billing period, after which your account reverts to the free plan. The full cancellation policy is set out in our Cancellation Policy and form part of these Terms by reference.
4. Acceptable Use
You agree not to, and not to permit anyone else to:
- submit URLs that you do not own or that you are not authorised to audit, where the target site's terms of service prohibit automated access;
- use the Service to scrape personal data, bypass paywalls, circumvent authentication, or extract content that is not publicly accessible;
- interfere with, disrupt, or attempt to overwhelm the Service or any infrastructure we rely on;
- reverse engineer, decompile, or attempt to discover the source code of the Service except where that right is granted to you by applicable law;
- resell, sublicense, or rent access to the Service without our prior written consent;
- use the Service to generate or distribute content that is unlawful, defamatory, deceptive, or that infringes the intellectual property rights of others;
- share account credentials between multiple individuals other than as permitted by your plan's seat limits.
We may suspend or terminate accounts that violate this section. For Agency and higher plans we reserve the right to introduce reasonable per-customer caps if usage patterns suggest the “unlimited” allowance is being abused.
5. Your Content
You retain ownership of the URLs, page content, organisation details, and any other material you submit to the Service (“Your Content”). By submitting Your Content you grant us a worldwide, non-exclusive, royalty-free licence to host, process, and analyse it solely for the purpose of providing the Service to you.
You represent and warrant that you have the right to submit Your Content and that doing so does not violate the terms of service of the audited site or any applicable law.
6. AEO Audit Output
Audit findings, generated FAQ schema, content rewrites, and any other output the Service produces from Your Content (“Output”) are provided to help you improve your site's visibility to AI-powered search engines. The Service uses third-party large language models to generate parts of the Output and we cannot guarantee that the Output is error-free, optimal, or that following it will produce any particular result.
You are solely responsible for reviewing Output before publishing or relying on it, including verifying any code snippets, schema markup, and rewritten content for accuracy and suitability.
7. Intellectual Property
The Service, including its software, design, brand assets, and all underlying technology, is owned by aeofyi and protected by intellectual property laws. We grant you a limited, non-transferable, non-exclusive licence to access and use the Service in accordance with these Terms. No other rights are granted.
8. Third-Party Services
The Service integrates with third-party providers including Supabase, Vercel, Anthropic, Google, and Stripe. These providers operate under their own terms and privacy policies and we are not responsible for their acts or omissions. Outages or changes by these providers may affect the Service.
9. Disclaimers
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT IT WILL ACHIEVE ANY SPECIFIC RANKING, CITATION, OR REVENUE OUTCOME.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, AEOFYI AND ITS AFFILIATES, OFFICERS, AND EMPLOYEES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS.
11. Indemnification
You agree to indemnify and hold harmless aeofyi, its affiliates, officers, and employees from any claim, demand, loss, or damage, including reasonable legal fees, arising out of (a) your use of the Service in violation of these Terms or applicable law, (b) Your Content, or (c) your violation of any third-party rights, including intellectual property rights and the terms of service of any site you submit for audit.
12. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access immediately, with or without notice, if we believe you have violated these Terms, if required by law, or if continued provision of the Service to you would expose us or others to liability.
Sections that by their nature should survive termination, including sections 5 through 11 and 14, will survive.
13. Changes to the Service or these Terms
We may change the Service, the plans we offer, or these Terms from time to time. For material changes to these Terms we will notify you by email or through the Service before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the United Arab Emirates, without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms or the Service will be resolved exclusively by the UAE courts in Sharjah, and you consent to the personal jurisdiction of those courts. Where mandatory consumer protection laws of your country of residence apply, those laws override this section to the extent of any conflict.
15. Miscellaneous
These Terms, together with our Privacy Policy, constitute the entire agreement between you and aeofyi concerning the Service. If any provision is held invalid the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
